Chatlay Terms of Service

Welcome to Chatlay. These Terms of Service explain the rules, responsibilities, and conditions that apply when you use our platform. Chatlay is designed to help people connect, communicate, share stories, join communities, and express themselves in a safe and meaningful way. By creating an account, accessing our services, or using any part of Chatlay, you agree to be bound by these Terms. If you do not agree, you must not use the platform. These Terms work together with our Community Guidelines, Privacy Policy, and any other policies we make available to users from time to time. We believe that open communication and freedom of expression are important, but those freedoms only work when they are balanced with safety, respect, and accountability. These Terms exist to protect our users, our community, and the integrity of the platform.

1. Eligibility and Account Requirements

You must be legally able to enter into a binding agreement to use Chatlay. If you are under the age required by law in your jurisdiction, or under the minimum age we set for the platform, you may not create an account unless your use is permitted and supervised in accordance with applicable law. You are responsible for providing accurate, current, and complete information when creating your account. You may not impersonate another person, create an account using false information, or register on behalf of someone else without permission. You are responsible for keeping your login details secure and for all activity that happens through your account. If you believe your account has been accessed without permission, you must notify us immediately.

2. Use of the Platform

Chatlay is provided for personal, social, and community-based use. You agree to use the platform lawfully, respectfully, and in accordance with these Terms and our Community Guidelines. You may not use Chatlay in any way that harms other users, disrupts the platform, compromises security, bypasses access controls, or interferes with normal operation. This includes attempting to reverse engineer, scrape, exploit, overload, or abuse any part of the service. We may change, suspend, restrict, or remove features at any time where we believe it is necessary to protect users, improve the platform, comply with the law, or maintain a reliable service.

3. User Content

Chatlay allows users to create, upload, send, share, and publish content. This includes text, images, videos, audio, usernames, display names, profile content, stories, messages, comments, links, and any other material submitted through the platform. You retain ownership of the content you create, but you grant Chatlay a limited, worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, distribute, display, adapt, and otherwise use your content as necessary to operate, improve, promote, and support the service. This licence only exists to the extent required for Chatlay to function. It does not mean that we claim ownership of your content. You are solely responsible for the content you submit and for making sure you have the rights, permissions, and legal basis to share it. You must not upload content that infringes another person’s rights, including privacy rights, intellectual property rights, or publicity rights. We may remove content or disable access to content at our discretion where we believe it violates these Terms or the law.

4. Community Standards and Safety

Your use of Chatlay is always subject to our Community Guidelines. Those guidelines set out the standards we expect from every user, every post, every message, and every interaction on the platform. We may review, moderate, limit, remove, or restrict content and accounts where we believe there has been a violation. We may also take action where conduct appears harmful, deceptive, illegal, abusive, or otherwise inconsistent with the purpose of the platform. We reserve the right to use automated systems, human moderation, user reports, and other safety tools to detect and respond to problematic activity. You understand that moderation decisions may sometimes require quick action to protect users and the wider community.

5. Prohibited Conduct

You agree that you will not use Chatlay to:

- violate any law or regulation;
- harass, abuse, threaten, or exploit others;
- share harmful, hateful, violent, sexual, deceptive, or illegal content;
- impersonate any person or organisation;
- collect data or content without permission;
- send spam, scams, or fraudulent messages;
- interfere with platform security or access controls;
- promote terrorism, extremist activity, or criminal activity;
- distribute malware or harmful code;
- misuse reporting tools or moderation systems;
- encourage self-harm, violence, or exploitation;
- use the platform for money laundering, fraud, or unlawful trade;
- sell or promote regulated goods or services where not permitted by law.

Any attempt to misuse Chatlay in these ways may result in immediate action, including content removal, account restriction, suspension, or permanent termination.

6. Stories, Public Content, Messages and Communities

Chatlay may include public and private spaces such as stories, profiles, groups, channels, direct messages, and other social features. You understand that anything you share in a public or semi-public space may be seen, captured, reshared, reported, or preserved by other users. Even where content is shared privately, you remain responsible for respecting the law, the rights of others, and our Community Guidelines. We may act on reported private content where necessary to protect users or enforce our policies. You should not assume that any message, story, post, or image shared on the platform will remain private or permanent. Users should think carefully before sharing personal or sensitive information.

7. Privacy and Data Use

Your privacy matters to us. Our collection and use of personal data are explained in our Privacy Policy, which forms part of these Terms. By using Chatlay, you consent to the practices described in that policy. We may process data to provide, secure, improve, and personalise the platform. This may include account data, content, device information, usage data, and safety-related information where appropriate. You are responsible for understanding how your information may be visible to others depending on your settings and how you use the platform.

8. Intellectual Property

All rights in Chatlay itself, including the app, website, branding, design, software, logos, features, layout, and other platform materials, belong to Chatlay or its licensors. You may not copy, reproduce, modify, distribute, sell, or create derivative works from our platform materials without permission, except where allowed by law or by written authorisation from us. If you believe content on Chatlay infringes your intellectual property rights, you may contact us through our designated reporting process and we will review the matter in accordance with applicable law.

9. Third-Party Services and Links

Chatlay may contain links, embeds, or integrations with third-party services. These are provided for convenience only. We do not control and are not responsible for third-party websites, apps, products, content, or services. Your use of any third-party service is governed by that service’s own terms and privacy policy. We encourage you to review them carefully before interacting with third-party features or external links.

10. Payments, Premium Features and Subscriptions

Some features of Chatlay may be free, while others may require payment, a subscription, or a one-time purchase. Where applicable, payment terms, pricing, billing cycles, refund rules, and renewal terms will be shown before you complete the purchase. By purchasing a subscription or premium feature, you agree to the pricing and billing terms presented at the time of purchase. Unless stated otherwise, subscriptions may renew automatically until cancelled in accordance with the rules shown at checkout or in your account settings. We may change pricing, plans, or feature availability from time to time. Where required by law, we will give notice of any material changes before they take effect. Payments may be processed by third-party providers, and you may also be subject to their terms in addition to ours.

11. Moderation, Suspension and Termination

We may, at our discretion and without prior notice where appropriate, remove content, limit visibility, restrict features, suspend accounts, or permanently terminate access to Chatlay if we believe:

- you have violated these Terms;
- you have violated our Community Guidelines;
- your conduct presents a risk to other users, the platform, or third parties;
- we are required to do so by law;
- your account has been compromised or is being misused;
- your activity is fraudulent, deceptive, illegal, or abusive.

We may also preserve or disclose information where necessary to comply with legal obligations, enforce our policies, respond to lawful requests, or protect the rights, safety, and security of Chatlay, our users, or the public.

12. No Warranty

Chatlay is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not guarantee that the platform will always be uninterrupted, secure, error-free, or available at all times. We do not guarantee that content will always be accurate, complete, reliable, or suitable for any particular purpose. You use the platform at your own risk, and you are responsible for how you interpret and act on the information or content you encounter.

13. Limitation of Liability

To the fullest extent permitted by law, Chatlay and its directors, officers, employees, partners, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. This includes loss of data, loss of profits, loss of goodwill, interruption of business, or harm arising from content posted by users, third-party services, moderation decisions, account suspension, or platform unavailability. Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Chatlay from claims, liabilities, damages, losses, and expenses arising out of or connected to your use of the platform, your content, your violation of these Terms, your violation of any law, or your infringement of any rights of another person or organisation.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, safety practices, or community needs. When we do, we will post the updated version and revise the “Last Updated” date. If the changes are material, we may provide additional notice where required. By continuing to use Chatlay after the updated Terms take effect, you agree to the revised version.

16. Governing Law

These Terms are governed by the laws of England and Wales, unless mandatory local law requires otherwise. Any disputes arising out of or relating to these Terms or your use of Chatlay will be handled in accordance with applicable law and jurisdictional requirements.
